Seller Onboarding Agreement

1. Introduction
This Seller Onboarding Agreement ("Agreement") is entered into between GuardPe ("Platform" or "We/Us"), a technology intermediary platform governed by the laws of India, and the entity or person registering as a seller on the Platform ("Seller" or "You/Your").
GuardPe is a technology intermediary that facilitates transactions between buyers and sellers. This Agreement defines the terms of your onboarding and use of the Platform to sell goods and services. The Platform acts solely as an intermediary and does not participate in the sale, purchase, or delivery of goods and services.
2. Nature of Platform
2.1 The Platform facilitates transactions between registered buyers and sellers.
2.2 The Platform does not own, sell, or hold inventory of any goods or services listed by Sellers.
2.3 The Platform does not hold user funds in any escrow, wallet, or similar capacity. All payment processing is handled via third-party payment partners.
2.4 The Platform disclaims any ownership or liability for the goods and services offered by Sellers.
3. Seller Responsibilities
3.1 Provide accurate, complete, and non-misleading descriptions of all goods and services listed on the Platform.
3.2 Deliver goods and services to buyers in the condition, timeline, and manner promised in the listing.
3.3 Comply with all applicable Indian laws, including but not limited to the Information Technology Act 2000, Consumer Protection Act 2019, GST Act 2017, and all sector-specific regulations for your product category.
3.4 Bear sole responsibility for resolving buyer complaints, refunds, and disputes related to your goods and services.
4. Onboarding & KYC
4.1 Seller must provide valid, up-to-date PAN (Permanent Account Number), verified bank account details, and any other KYC documents required under Indian law or by our payment partners.
4.2 The Platform reserves the right to verify all submitted KYC information, and may suspend or reject onboarding if documents are invalid, incomplete, or suspected to be fraudulent.
4.3 Seller must notify the Platform immediately of any changes to KYC or bank account details.
5. Payments & Settlement
5.1 All transaction payments are collected via Zoho Payments, our authorized payment partner.
5.2 Funds are credited to a designated Platform settlement account solely for the purpose of passing through payments to Sellers, and are not held in an escrow or wallet capacity.
5.3 Settlements (transaction amount minus applicable Platform Fees) are transferred to Seller's verified bank account within 1–3 business days of transaction completion.
5.4 The Platform is not liable for delays in settlement caused by banking channels, payment partner outages, or invalid Seller bank details.
6. Platform Fees
6.1 The Platform charges a service fee on each successful transaction, as communicated to the Seller prior to onboarding.
6.2 Fee rates may be updated from time to time, with 15 days' prior written notice to the Seller.
6.3 Fees are deducted directly from the transaction settlement amount before transfer to the Seller's bank account.
7. Refunds & Disputes
7.1 Seller is solely responsible for fulfilling all orders and resolving buyer refund requests.
7.2 The Platform will facilitate dispute resolution by providing a communication channel between buyers and Sellers, but does not adjudicate liability or guarantee resolution.
7.3 Seller must honor all valid refund requests, and bear the full cost of approved refunds.
7.4 The Platform may withhold settlement amounts for disputed transactions until the dispute is resolved.
8. Prohibited Activities
Seller shall not:
- List or sell illegal, counterfeit, or prohibited goods and services under Indian law.
- Engage in fraud, misrepresentation, or money laundering.
- Use the Platform to circumvent tax, KYC, or regulatory requirements.
- Interfere with the Platform's operations or other Sellers' listings.
9. Limitation of Liability
9.1 To the maximum extent permitted by Indian law, the Platform is not liable for the quality, safety, legality, or delivery of Seller's goods and services.
9.2 The Platform's total liability to the Seller for any claim arising out of this Agreement is limited to the total Platform Fees collected from the Seller for the relevant transaction.
9.3 The Platform is not liable for any indirect, incidental, or consequential damages, including loss of profit or business opportunity.
10. Termination
10.1 The Platform may suspend or terminate Seller's account immediately, without notice, for breach of this Agreement, prohibited activities, or regulatory requirements.
10.2 Seller may terminate this Agreement with 7 days' written notice to the Platform, subject to pending transaction settlements.
10.3 Upon termination, the Platform will settle all pending dues to the Seller within 7 business days, minus any outstanding refunds or penalties.
11. Governing Law
11.1 This Agreement is governed by the laws of India.
11.2 The parties submit to the exclusive jurisdiction of the courts located at Bengaluru, Karnataka, India.
